Terms & conditions.

The terms that apply to our quotes, assignments and deliveries. Clear and short, just like our films.

1. Definitions

In these terms:

  • Client: the customer who commissions an assignment.
  • Contractor: VMvisuals V.O.F.
  • Assignment: all agreed services related to video production, photography and/or related work.
  • Material: all audiovisual content created by the contractor.

2. Applicability

These general terms apply to all quotes, assignments and agreements by VMvisuals V.O.F., unless otherwise agreed in writing.

3. Quotes and agreement

  • Quotes are valid for 30 days, unless stated otherwise.
  • An agreement is only established after written confirmation by the client, including explicit agreement by email or digital communication.
  • Verbal agreements are only binding when confirmed in writing by the contractor.
  • The contractor reserves the right to refuse an assignment without giving a reason.

4. Prices and payment

  • All rates are exclusive of VAT, unless stated otherwise.
  • A 30% deposit may be requested upon assignment confirmation, unless otherwise agreed.
  • The remaining payment must be made within 14 days after the invoice date.
  • If the payment term is exceeded, the client is legally in default and statutory interest and extrajudicial collection costs may be charged.
  • The contractor reserves the right to suspend work in case of outstanding payments.

5. Scope of the assignment

  • The assignment only includes the work described in the quote.
  • Work outside this scope is considered additional work and is billed separately by hourly or day rate.
  • Changes in briefing, script or edit after approval may affect planning and price.

6. Delivery

  • Delivery terms are indicative, unless explicitly agreed in writing as a hard deadline.
  • Delay caused by the client, such as late feedback or missing material, automatically extends the delivery term.
  • Delivery is considered complete once the final product has been digitally delivered in the agreed formats.

7. Revision rounds

  • Unless stated otherwise in the quote, two revision rounds are included. Further changes are billed as additional work.
  • Revisions apply only to the agreed scope and content. Extra revision rounds are billed separately.

8. Cancellation and changes

  • For cancellation within 48 hours before a planned shoot day, the client owes 50% of the production costs budgeted for that shoot day.
  • Costs already incurred, including but not limited to location rental, travel and accommodation, hired freelancers, permits and preparation work, are fully charged.
  • For cancellation on the day of execution, the client owes 100% of the production costs budgeted for that shoot day.
  • If cancellation occurs during an ongoing production, all hours, work and costs incurred up to that point are fully invoiced.
  • If the client is not present or reachable at the time of execution, this is considered cancellation on the day of execution.

9. Intellectual property and license

  • All copyrights to the material remain the property of VMvisuals V.O.F. until the invoice is fully paid.
  • After full payment, the client receives a non-exclusive, non-transferable license for the agreed purposes.
  • Unless otherwise agreed in writing, the license includes online use, such as social media and website, and internal communication.
  • Use for paid advertising, television broadcast, resale or use by third parties is only permitted if agreed in writing in advance.
  • Modification, editing or reuse of material without permission is not permitted.

10. Raw files

  • Raw, unedited files are not delivered by default.
  • Delivery of raw files is only possible after written agreement and at an additional fee.
  • VMvisuals V.O.F. is not required to store or provide raw files after delivery of the final product, unless otherwise agreed in writing.

11. Portfolio use

The contractor may use the final result for portfolio, website and promotional purposes, unless the client objects in writing before production.

12. Liability

  • The contractor is only liable for direct damage demonstrably caused by an attributable failure.
  • Liability is limited to the invoice amount of the relevant assignment.
  • The contractor is not liable for indirect damage, consequential damage or lost profit.
  • Force majeure, including illness, technical failures, extreme weather or data loss outside the contractor's fault, gives the contractor the right to suspend or reschedule the assignment without liability for resulting damage.

13. Delay caused by the client

  • If the client does not provide required input, approval or feedback on time, the planning is automatically adjusted.
  • Any additional costs caused by delay are charged to the client.

14. Confidentiality

  • All information provided by the client is treated confidentially.
  • Information is not shared with third parties without permission, unless necessary for execution of the assignment.

15. Third parties and external costs

  • Third-party costs, including music licenses, stock material, locations, permits and hired freelancers, are agreed in advance and charged separately to the client, unless otherwise agreed in writing.
  • The client guarantees that all materials provided by them may be lawfully used and indemnifies the contractor against claims by third parties resulting from such use.

16. Suspension of work

The contractor has the right to suspend the assignment in whole or in part if the client does not meet payment obligations or other obligations under the agreement. The contractor is not liable for damage or delay resulting from this.

17. Applicable law

Dutch law exclusively applies to all agreements. Disputes are submitted to the competent court in the district where the contractor is established.
